Chapter 2 – What the Restructuring Actually Was

Marcus spent the following weeks doing what he did best — taking things apart to understand exactly how they worked, this time applied not to a precision machine part but to the corporate maneuvering that had ended his career at the company he’d built.

What he found, digging through public filings and old shareholder agreements he’d half-forgotten signing, was a pattern of quiet moves Victor had made over the preceding two years — diluting Marcus’s ownership stake through a series of “emergency capital raises” that had never actually been necessary given the company’s healthy cash position, each one shrinking Marcus’s voting power a little further without triggering the kind of scrutiny a single large move would have.

By the time of the “restructuring,” Marcus’s ownership stake had fallen from an original forty percent down to just under twelve, small enough that Victor could engineer his removal through a board Victor had also spent two years quietly stacking with allies.

“He planned this for years,” Marcus told his wife, spreading the documents across their kitchen table. “Not a restructuring. A takeover, dressed up in HR language so it would look routine.”

His wife, a public school teacher who had watched the company’s rising valuations from the sidelines for two decades without ever seeing much of that value reach their own household, asked the question that mattered most. “So what do you do now, at fifty-one, with a mortgage and a kid starting college in the fall?”

Marcus didn’t have a full answer yet. But he had twelve percent of a company, a garage in the backyard, and twenty-six years of knowledge about exactly how precision components actually got made better than anyone Victor had left running the floor.
